All content on the Platform, including but not limited to text, graphics, logos, software, AI-generated responses based on Dr. Steve Cohen's expertise, HR frameworks, methodologies, and documentation, is the intellectual property of HR Solutions On Call, LLC or its licensors and is protected by applicable copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Platform for your internal business purposes. You may not copy, reproduce, distribute, or create derivative works from any content on the Platform without our express written permission.

HR-generated documents created through the Platform for your personal business use are yours to use. However, you may not resell, redistribute, or represent AI-generated documents as independently authored legal documents.

7. User Content

When you submit content to the Platform — including questions, documents, and business information — you grant HR Solutions On Call, LLC a limited license to process and use that content solely to provide the services described on the Platform. We do not claim ownership of your content.

You are responsible for ensuring that any content you submit does not violate the rights of third parties, including confidentiality obligations or privacy rights of your employees.

8. Disclaimer of Warranties

The Platform is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.

We do not warrant that the Platform will be uninterrupted, error-free, or free from viruses or other harmful components. We do not warrant the accuracy, completeness, or reliability of any guidance, documents, or responses generated through the Platform.

HR law varies significantly by state, industry, and individual circumstances. The guidance provided may not reflect the most current legal developments in your jurisdiction.

9. Limitation of Liability

To the fullest extent permitted by applicable law, HR Solutions On Call, LLC, its officers, directors, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business, or goodwill, arising out of or in connection with your use of or inability to use the Platform.

In no event shall our total liability to you for all claims arising out of or relating to the use of the Platform exceed the greater of (a) the amount you paid to us in the twelve months preceding the claim, or (b) one hundred dollars ($100.00).

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liability, so some of the above limitations may not apply to you.

You agree to indemnify, defend, and hold harmless HR Solutions On Call, LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Platform, your violation of these Terms, or your violation of any rights of a third party.

The Platform integrates with third-party services including Anthropic (AI processing), Stripe (payment processing), Supabase (data storage), and Netlify (hosting). Your use of these third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the practices or policies of these third parties.

12. Modifications to the Platform

We reserve the right to modify, suspend, or discontinue the Platform or any part of it at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Platform.

13. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the "Last Updated" date at the top of this page and notify registered users by email. Your continued use of the Platform after any changes constitutes your acceptance of the updated Terms.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Missouri, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or your use of the Platform shall first be subject to good-faith negotiation between the parties. If negotiation fails, disputes shall be resolved by binding arbitration administered in Jackson County, Missouri, in accordance with the rules of the American Arbitration Association. You waive any right to participate in a class action lawsuit or class-wide arbitration.

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy and any Account Terms presented at signup, constitute the entire agreement between you and HR Solutions On Call, LLC regarding your use of the Platform and supersede any prior agreements.
